Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and, if you are using OrbiSignage on behalf of an organisation, that organisation ("you", "your"), and Urbigjump UK Ltd, a company registered in England & Wales (company number 17282916), registered office Office 7277, 58 Peregrine Road, Ilford, IG6 3SZ, United Kingdom, ICO data protection registration ZC207171 ("OrbiSignage", "we", "us", "our"). They govern your access to and use of the OrbiSignage website, content-management dashboard, screen/player applications, and device ordering service (together, the "Service").
1. Eligibility and accounts
The Service is intended for business and organisational use. You must be at least 18 years old and legally capable of entering into a binding contract. If you create an account on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your login credentials and screen-pairing codes, and for all activity that occurs under your account. Notify us promptly at Info@orbisignage.com if you suspect unauthorised access.
2. The Service
OrbiSignage lets you upload and manage media, pair and schedule content to physical screens, and view reporting (such as proof-of-play and screen uptime) through our web dashboard and player applications. Some features — such as two-factor authentication, VAT-inclusive billing, or specific import integrations — may be available only on certain plans or only once configured for your account.
3. Plans, billing, and payment
- The Service is offered on a free plan and one or more paid subscription plans, as described on our pricing page. Paid plans are billed monthly or annually in advance, and renew automatically at the then-current price unless cancelled before the renewal date.
- All payments are processed by Stripe, Inc. By subscribing, you authorise us to charge your chosen payment method for recurring fees, applicable taxes (including VAT where enabled for your account), and any device orders you place. We do not store your full card details ourselves (see our Privacy Policy).
- You can change or cancel your plan at any time from your account settings. Cancellation takes effect at the end of your current billing period; we do not provide refunds or credits for partial billing periods except where required by law or at our discretion.
- We may change our prices with reasonable advance notice. Price changes take effect from your next billing cycle following the notice period.
- If a payment fails, we may retry it, suspend access to paid features, and downgrade your account to the free plan (or suspend it entirely) if the amount remains unpaid after a reasonable period. We will email the billing contact on record before doing so.
4. Device orders
OrbiSignage sells and ships signage hardware (such as media-player devices) through the Service. In addition to Sections 3 and the rest of these Terms:
- Prices, shipping charges, and applicable VAT are shown when you place your order. Hardware orders are recorded to your account and then invoiced; unless we tell you otherwise, no online payment is taken at the point of ordering, and the order is confirmed once payment against that invoice is received.
- We aim to dispatch orders promptly after payment is received, but delivery dates are estimates only and are not guaranteed.
- Risk in ordered hardware passes to you on delivery. Title passes once we have received payment in full.
- Hardware we sell is covered by the relevant manufacturer's own warranty, which we pass through to you to the extent permitted by the manufacturer; we do not provide a separate hardware warranty beyond that.
- If you are a consumer ordering from the UK, you have a statutory right to cancel most orders within 14 days of delivery under the Consumer Contracts Regulations 2013; contact us to arrange a return. For business orders, returns and exchanges are at our discretion unless the item is faulty, in which case your statutory rights under the Consumer Rights Act 2015 or equivalent business protections apply.
5. Your content
You retain all ownership rights in the media, playlists, and other content you upload to the Service ("Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, reproduce, format, and transmit your Content solely to operate the Service, including displaying it on the screens you configure and generating reports about its playback. This licence ends when you delete the Content or close your account, subject to Section 12.
You are solely responsible for your Content and represent that you have all rights, licences, and consents needed to upload, display, and (where applicable) publicly perform it — including any rights of people depicted in it, any third-party intellectual property (images, logos, video, music, or text), and any public performance or synchronisation licences required to play music or copyrighted media on a public-facing screen. We do not review Content before it is displayed, but we may remove Content or suspend a screen where we reasonably believe it violates these Terms or the law.
6. Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service for any unlawful, fraudulent, defamatory, obscene, or infringing purpose;
- upload or display Content you do not have the right to use, or that infringes a third party's intellectual property or privacy rights;
- access or attempt to access another customer's account, screens, or data without authorisation;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of our CMS or player applications, except to the extent this restriction is prohibited by applicable law;
- copy, resell, sublicense, or create derivative works of the Service, other than the Content you upload;
- probe, scan, or attempt to circumvent any security or authentication mechanism, or interfere with the Service's operation, or another customer's use of it;
- use the Service to send unsolicited bulk communications.
7. Third-party services and integrations
The Service may connect to third-party services you choose to use, including Stripe (payments) and, if you use them, your own Google Drive, Microsoft OneDrive, or Dropbox account for importing media. Those services are provided by their respective operators, not by us, and your use of them is governed by their own terms and privacy policies. We are not responsible for their availability, content, or handling of your data.
8. Service availability and changes
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or continuous availability, and screens depend on your own network and hardware working correctly. We may perform maintenance, and may add, change, or remove features of the Service from time to time. Where a change is likely to materially reduce the functionality you rely on, we will give reasonable notice where practicable.
9. Intellectual property
The Service, and all intellectual property rights in it (including our software, CMS, player applications, website design, and trademarks), are owned by or licensed to Urbigjump UK Ltd and are protected by law. These Terms grant you a limited right to use the Service as described; they do not transfer any ownership in it. "OrbiSignage" and our logo are trademarks of Urbigjump UK Ltd. All third-party names and marks referenced in the Service are the property of their respective owners and are used for identification only.
10. Data protection
Our respective data protection obligations are described in our Privacy Policy. In summary: we act as controller of your account, billing, and device data, and as your processor for Content you upload that contains personal data (for example, photos of staff or customers). If your organisation requires a separate data processing agreement to reflect that processor relationship, contact us at Info@orbisignage.com.
11. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that screens will never go offline, or that it will meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law:
- we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, goodwill, or business, arising out of or in connection with the Service or these Terms, whether based in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages;
- our total aggregate liability arising out of or in connection with the Service or these Terms in any 12-month period will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) £100 if you are on our free plan.
13. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Urbigjump UK Ltd and its directors, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) Content you upload or display through the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; or (d) your misuse of the Service. This clause does not apply to consumers except to the extent permitted by applicable law.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately, or restrict specific screens or Content, if you breach these Terms, fail to pay amounts owed, use the Service in a way that risks harm to us or other customers, or where required by law or by a third-party service we rely on. On termination, your licence to use the Service ends. You may export your Content for 30 days after termination; after that period we may permanently delete it. Sections that by their nature should survive termination (including 5, 9, 10, 11, 12, 13, and 16) continue to apply.
15. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the United Kingdom you may also bring proceedings in your home jurisdiction, and nothing deprives you of the protection of mandatory consumer laws of your place of residence.
16. General
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject.
- Severability. If any provision is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be applied to the maximum extent permitted.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor, including in connection with a merger or sale of assets.
- Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.
- Changes to these Terms. We may update these Terms from time to time; the "Last updated" date will change and, where the change is material, we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
